AUCTION TERMS & CONDITIONS
Deposit - The successful bidder shall execute the Agreements of Sale immediately following the auction and pay a deposit equal to ten percent (10%) of the total purchase price by certified funds, cashier's check, wire transfer, or other form acceptable to the Seller.

Purchase Price - The balance of the purchase price shall be due at settlement within forty-five (45) days of the auction date, time being of the essence.

Property Being Sold - The sale includes:

• The restaurant real estate and all improvements.
• The Pennsylvania Restaurant Liquor License, together with any transferable rights associated with the license, requires approval by the Pennsylvania Liquor Control Board (PLCB).
• The real estate and liquor license are being sold together and are not offered separately unless otherwise announced by the Auctioneer.

Real Estate Settlement - Settlement of the real estate shall occur on or before forty-five (45) days from the auction date at a settlement company designated in the Agreement of Sale.

Possession shall be delivered in accordance with the Agreement of Sale.

Liquor License Transfer

• The liquor license transfer requires approval by the Pennsylvania Liquor Control Board.
• Immediately following the auction, the Buyer and Seller shall execute all necessary documents required to submit the liquor license transfer application.
• The parties agree to cooperate in good faith and promptly execute all documents reasonably required to complete the transfer.
• The portion of the purchase price allocated to the liquor license shall be held by the settlement agent or escrow agent until final approval of the transfer by the Pennsylvania Liquor Control Board, at which time the escrowed funds shall be released to the Seller.

Transfer Taxes - The Buyer shall pay 100% of the Pennsylvania Realty Transfer Tax (2%), together with all recording fees and customary Buyer closing costs.

Condition of Property - The property and liquor license are being sold AS IS, WHERE IS, with all faults. No warranties or guarantees, expressed or implied, are made by the Seller or Auctioneer regarding the condition of the property, equipment, business operations, or suitability for any particular use.

Due Diligence - Prospective bidders are encouraged to perform all desired inspections and investigations prior to bidding. By bidding, each bidder acknowledges they have had an opportunity to conduct all due diligence deemed necessary.

Default - If the Buyer fails to perform according to the terms of the Agreements of Sale, the deposit may be retained by the Seller as liquidated damages, without limiting any other rights or remedies available under Pennsylvania law.

Buyer's Premium - A Buyer's Premium of 10% shall be added to the high bid to determine the final contract purchase price.

Announcements - Any oral announcements made by the Auctioneer on auction day shall take precedence over any previously printed materials.
